Terms of Service

1. Acceptance

By installing or using DropifyXL (the "Service") on your Shopify store, you agree to these Terms of Service (the "Terms"). If you don't agree, uninstall the app from your Shopify admin.

These Terms apply to the Shopify merchant installing the app and any authorized collaborators who access it.

2. What DropifyXL does

DropifyXL is a Shopify-embedded app that delivers a weekly action plan for your store. We scan your catalog, orders, customers, and (on Plus) anonymized visitor analytics, and generate a short list of high-impact recommendations.

The current recommendation types are:

• Core (all paid plans): Restock alert, Winback campaign, Pricing adjustment, Hidden hero, Abandoned cart, Ad creative brief.
• Behavioral (Plus only): PDP conversion, Ad-channel leak, Time-of-day, Mobile bounce. These require the Plus-only Web Pixel, which you enable in Settings.

DropifyXL does not connect to Meta, Google, TikTok, or any ad platform. All data comes from your Shopify store.

3. Accounts

You access DropifyXL through your Shopify store account — we don't maintain a separate password. You're responsible for safeguarding the Shopify account and for the actions of any collaborators you authorize inside Shopify admin.

4. Shopify integration

We connect via official Shopify OAuth using the minimum read scopes required to generate recommendations:

• read_products, read_inventory — catalog + stock levels
• read_orders, read_customers — last-90-day sales + customer cadence
• write_pixels, read_customer_events — Plus-only Web Pixel for visitor analytics

We use the data solely to operate the Service. You can revoke access at any time by uninstalling the app from your Shopify admin.

5. Plans & billing

Current plans:

• Free: 1 recommendation per week, in-dashboard only, no email digest.
• Pro — $19 USD / month: up to 5 recommendations per week, weekly email digest, first-scan email after install, full action history with one-click reactivation.
• Plus — $39 USD / month: everything in Pro, plus 10 recommendations per week, daily email digest, and the four behavioral-data recommendation types powered by the opt-in Web Pixel.

All paid plans include a 7-day free trial. Billing is handled by Shopify Billing and charged on your regular Shopify invoice in USD. Plans can be upgraded, downgraded, or cancelled any time from the Plan page inside the app — cancellation takes effect at the end of the current billing cycle and you retain access until then.

Tax (VAT, sales tax) is applied by Shopify based on your location.

6. AI-generated content

Each recommendation is produced by a deterministic rule (SQL + application logic against your Shopify data) and then rewritten by a large-language-model "polish" layer to sound friendly and specific. The LLM only rewrites language — all numbers, product names, and IDs come from the rule, not the LLM.

Recommendations are provided "as is." They're a helpful starting point, not a guarantee of outcomes. Review before you act, especially for pricing changes or ad-creative briefs you're about to spend on.

You grant us the right to use aggregated, de-identified performance data (e.g. "Plus shops average N recommendations per week") to improve the Service. We do not train foundation models on your raw store data.

7. Prohibited uses

You agree not to:

• Use the Service in violation of applicable law or Shopify's own Acceptable Use Policy;
• Reverse-engineer, circumvent, or abuse the rate limiting on our public endpoints;
• Submit false or misleading information in the Contact or Data Request forms;
• Use the Service to process personal data you have no lawful basis to process.

8. Intellectual property

The Service and its original content, features, and functionality — including the rule designs and the UI — are owned by DropifyXL and its licensors. The "DropifyXL" name and logo may not be used without prior written consent.

You retain ownership of your store data. You grant DropifyXL a limited license to process that data only as needed to deliver the Service, consistent with the Privacy Policy and DPA.

9. Privacy & data

How we handle data is described in our Privacy Policy, Data Processing Addendum, Subprocessor list, and Security summary. End customers of a merchant using DropifyXL can also submit requests at /data-request.

10. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DropifyXL disclaims all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, DropifyXL and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

Our aggregate liability for all claims relating to the Service in any twelve-month period is limited to the amount you paid us for the Service during that period.

12. Termination

You can terminate at any time by uninstalling the app from your Shopify admin — that also cancels any active subscription through Shopify Billing. We may suspend or terminate access for material breach of these Terms or if required by law.

On uninstall, we mark your store inactive and retain data for 90 days (to enable a smooth reinstall) before full deletion. You can request immediate deletion via the contact form.

13. Governing law

These Terms are governed by the laws of the operator’s jurisdiction, without regard to conflict-of-law rules. Our failure to enforce any provision is not a waiver of our rights.

14. Changes

We may update these Terms from time to time. Material changes will be announced inside the app and on this page at least 30 days before taking effect. Continued use of the Service after the effective date means you accept the updated Terms.
