1. Acceptance of Terms

By accessing or using DropifyXL (the “Service”), you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, do not use the Service.

These Terms apply to all users including browsers, vendors, customers, merchants, and contributors of content.

2. Service Description

DropifyXL is an AI‑powered co‑pilot for Shopify dropshippers that provides insights and suggested actions to improve product performance and store growth. Core features include:

• AI‑generated product insights and recommendations
• Automated ad copy and creative ideas
• Weekly prioritized action plans (PDP/CRO, campaigns, tests)
• Pricing optimization suggestions
• Store‑health monitoring and analytics
• Branding assistance and guidelines

The Service requires connecting your Shopify store and, optionally, ad platforms (Meta, Google, TikTok). We analyze your data solely to deliver the Service.

3. User Accounts & Registration

You must provide accurate, current information when you create an account and keep it updated. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately of any unauthorized use.

4. Shopify Integration

We connect via official Shopify APIs using OAuth. By linking your store, you authorize access to data such as:

• Product, catalog, and inventory information
• Orders, revenue, and performance analytics
• Traffic and behavioral metrics
• Store configuration relevant to insights

We use this data only to operate and improve the Service and do not sell store data to third parties. You may revoke access at any time from Shopify.

5. Subscription Plans & Billing

Plans and monthly pricing:

• Free: Basic dashboard, weekly action plan.
• Pro – $9.99/mo: Everything in Free + AI ad generator + branding tools + product insights.
• Growth – $29.99/mo: Everything in Pro + full optimization suite + advanced insights + priority support.
• Scale – $59.99/mo: All features, unlimited stores & products, team access, priority support + onboarding call.

Fees are billed in advance and are non‑refundable except where required by law or as expressly stated here. You may cancel anytime; cancellation takes effect at the end of your billing period and you will retain access until then.

Taxes (e.g., VAT) may apply depending on your location and will be added at checkout.

6. AI‑Generated Content

Our AI produces recommendations (including ad copy, creative angles, pricing suggestions, and strategy notes). These are provided “as is” and should be reviewed by you for accuracy, compliance, and suitability before use.

You remain responsible for the content and campaigns you publish. We do not guarantee results.

You grant us the right to use aggregated, anonymized data to improve models and the Service.

7. Prohibited Uses

You agree not to misuse the Service, including by:

• Engaging in unlawful activity or violating applicable laws or platform policies
• Infringing intellectual property or publicity/privacy rights
• Harassing, abusing, or discriminating against others
• Uploading malicious code or attempting to disrupt the Service
• Scraping without permission or spamming/phishing
• Submitting false or misleading information

8. Intellectual Property

The Service and its original content, features, and functionality are owned by DropifyXL and its licensors and are protected by copyright, trademark, and other laws. Our marks and trade dress may not be used without prior written consent.

You retain ownership of content you submit to the Service and grant us a license to use it only as necessary to provide the Service.

9. Privacy

Your privacy matters. Please review our Privacy Policy, Cookie Policy, and Data Processing Addendum for details on how we collect, use, and protect data.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, DropifyXL disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error‑free.

11. Limitation of Liability

To the maximum extent permitted by law, DropifyXL and its affiliates, officers, employees, agents, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses.

Our aggregate liability for all claims relating to the Service within the twelve (12) months preceding the event giving rise to the claim is limited to the amount you paid to us for the Service during that period.

12. Termination

We may suspend or terminate your access immediately for any breach of these Terms or if required by law. You may terminate at any time by discontinuing use and cancelling your subscription.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law rules. Our failure to enforce any provision is not a waiver of our rights.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
